Annual Return Filing in Singapore: The Complete Checklist for Company Directors

Annual Return Filing in Singapore: The Complete Checklist for Company Directors

"Your Annual Return is not just paperwork — it's a public declaration of your company's health. Directors who miss it face personal liability."

Every Singapore-incorporated company must file an Annual Return (AR) with ACRA each year. Far from being just a routine admin task, the AR is a critical corporate governance obligation that directors are personally responsible for.

What the Annual Return Includes

  • Company particulars (name, registered office, nature of business)
  • Details of directors, shareholders, and company secretary
  • Financial statements (for companies that are not exempt)
  • Solvency declaration (for dormant companies)

Filing Deadlines

Unlisted companies must file within 7 months of their financial year-end. Listed companies have a 5-month window. Missing this deadline triggers automatic late fees starting from S$300, escalating the longer the delay.

Who Is Exempt from Financial Statement Filing?

Small companies (meeting at least 2 of 3 criteria: revenue ≤ S$10m, assets ≤ S$10m, ≤ 50 employees) and dormant companies may qualify for audit exemptions — but must still file the AR itself.

Director's Checklist Before Filing

  • Confirm financial year-end and calculate deadline
  • Ensure financial statements are prepared and approved
  • Verify all company information is current in ACRA
  • Instruct Company Secretary to file on your behalf
